Terms and Conditions

1. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding agreement. You must provide accurate account information, protect your login credentials, and promptly notify us if you suspect unauthorized access. You are responsible for activity performed through your account and for ensuring that each person using your organization's account has appropriate authority.

2. What ProMyAd Provides

ProMyAd helps users create and edit images, videos, captions, hashtags, calls to action, and other marketing materials. The Service may also let authorized users connect social accounts, download content, publish immediately, or schedule content for later. Features may be introduced, limited, suspended, or changed as the Service develops.

ProMyAd is a content creation and workflow tool. We do not guarantee advertising performance, engagement, sales, leads, follower growth, publication approval, or any particular business result.

3. Your Content and Permissions

You retain ownership of content you upload and of any rights you may have in content you create using the Service ("Your Content"). You grant ProMyAd a limited, non-exclusive license to host, copy, process, modify, transmit, and display Your Content only as reasonably necessary to provide, secure, maintain, and improve the Service.

You represent that you own or have all licenses, releases, consents, and permissions needed for Your Content, including rights relating to trademarks, music, photographs, people, likenesses, testimonials, and personal information. You remain responsible for reviewing and approving all content before it is downloaded, published, or used.

For every audio track, sound recording, musical composition, image, video, logo, or other media you upload, edit, schedule, publish, or otherwise use through the Service, you represent and warrant that you own that media or have obtained all rights and licenses necessary to store, reproduce, edit, synchronize, combine, publicly display, publicly perform, distribute, advertise with, and commercially use it. This includes any required copyright, master recording, musical composition, synchronization, performance, trademark, privacy, publicity, talent, location, and model-release rights.

ProMyAd does not verify, clear, license, or monitor user-provided media and does not grant you rights to use it. To the maximum extent permitted by law, ProMyAd is not responsible for copyright or trademark claims, Content ID claims, takedowns, blocked or muted posts, lost monetization, advertising disapproval, account restrictions, or other consequences arising from Your Content. You are responsible for responding to claims and promptly removing or replacing disputed media.

4. AI-Generated Content

The Service uses automated and artificial intelligence systems. AI output may be inaccurate, incomplete, unexpected, offensive, or similar to content generated for another user. Outputs are not guaranteed to be unique, protectable, non-infringing, or suitable for a specific purpose.

You must independently review AI output for accuracy, legality, brand suitability, intellectual property concerns, required disclosures, and compliance with platform and advertising rules. Do not treat AI output as legal, financial, medical, or other professional advice.

5. Connected Facebook and Instagram Accounts

You may connect Facebook Pages and Instagram professional accounts through Meta authorization. You may connect or publish to an account only if you are authorized to manage it. You authorize ProMyAd to use the permissions and access tokens you grant solely to provide the account features you request.

Meta controls its platforms, permissions, review requirements, APIs, and publishing decisions. Connections or posts may fail because of expired permissions, account restrictions, identity verification, outages, policy enforcement, or changes made by Meta. ProMyAd is not affiliated with or endorsed by Meta and cannot guarantee continuous access or successful publication.

6. Scheduling and Publishing

You are responsible for confirming the destination account, platform, media, caption, time zone, and scheduled time before submitting a post. Scheduled publication depends on the Service, internet connectivity, third-party systems, valid permissions, and account availability. You should not rely on ProMyAd as the only method for time-sensitive, regulated, emergency, or legally required communications.

You remain the publisher of Your Content and are responsible for monitoring published and scheduled posts, correcting errors, responding to audiences, and removing content when necessary.

7. Acceptable Use

You may not use the Service to create, upload, store, or distribute content that:

• violates any law, regulation, court order, platform rule, or third-party right;
• infringes copyrights, trademarks, privacy, publicity, or other intellectual property rights;
• is fraudulent, deceptive, defamatory, harassing, hateful, discriminatory, or unlawfully explicit;
• exploits minors or depicts non-consensual intimate or manipulated content;
• impersonates another person or misrepresents sponsorship, endorsement, origin, or material facts;
• contains malware, attempts unauthorized access, or interferes with the Service or other users; or
• uses automated methods to scrape, overload, reverse engineer, resell, or bypass Service limits.

You must also comply with Meta's terms, advertising standards, community standards, commerce policies, and any rules that apply to your industry or audience.

8. Paid Features

Paid subscriptions renew automatically at the displayed monthly or annual price until canceled. Square securely stores and charges your selected payment method; ProMyAd does not store your full card number or security code. You can cancel renewal from Plans & billing, and paid access continues through the current paid billing period. Plan upgrades, downgrades, and cadence changes are scheduled for the next billing boundary and are not prorated. One-time credit packages do not renew. Prices, usage limits, and applicable refund terms are shown before purchase. Unless the purchase terms state otherwise, fees are non-refundable except where required by law. Taxes may apply.

9. Third-Party Services

The Service depends on third parties such as cloud hosting, authentication, storage, payment, AI model, and social media providers. Your use of those services may also be subject to their terms and policies. We are not responsible for third-party content, outages, policy decisions, data practices, or changes to third-party products.

10. Privacy

Our Privacy Policy explains how we collect, use, store, and share information. By using the Service, you acknowledge those practices.

11. Service Availability and Changes

We may perform maintenance, impose reasonable usage or storage limits, modify features, or suspend access when needed for security, legal compliance, platform compliance, or reliable operation. We may discontinue all or part of the Service after reasonable notice when practicable.

12. Suspension and Termination

You may stop using the Service at any time. We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created risk or liability, failed to pay applicable fees, or used the Service in a way that could harm users, ProMyAd, or a third party. Sections that by their nature should survive termination will remain in effect.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." ProMyAd disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law, ProMyAd and its owners, affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, advertising spend, or failed publication.

To the maximum extent permitted by law, ProMyAd's total liability arising from the Service or these Terms will not exceed the greater of the amount you paid to ProMyAd during the six months before the event giving rise to the claim or one hundred U.S. dollars (US $100). Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ProMyAd and its owners, affiliates, personnel, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from Your Content, your connected accounts, your violation of these Terms, your violation of law or third-party rights, or your misuse of the Service.

16. Governing Law and Disputes

These Terms are governed by applicable United States law and the laws of the state in which ProMyAd maintains its principal place of business, without regard to conflict-of-law principles. Before filing a formal claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. Any proceeding that cannot be resolved informally must be brought in a court with jurisdiction over ProMyAd's principal place of business, unless applicable consumer law requires otherwise.

17. Changes to These Terms

We may update these Terms as the Service changes. We will post the revised Terms and update the "Last updated" date. Material changes may also be communicated through the Service or by email. Continued use after the effective date of revised Terms means you accept them.

18. General Terms

These Terms and the Privacy Policy form the entire agreement concerning the Service unless separate written terms apply. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not transfer these Terms without our written consent; ProMyAd may transfer them as part of a reorganization, financing, merger, acquisition, or sale of assets.
